SageGate
Terms of Use
SageGate is a native iOS client for AI models: in its base form, your device talks directly to the providers you configure with your own keys. Optional paid tiers add cloud document storage, an optional Cloud Inference feature adds server-side answer generation, and an optional feedback and support form lets you send bug reports, feature requests, and support messages to us. These Terms govern all of it — and nothing here changes the base app's design: without a paid cloud feature enabled, SageGate's servers play no role in your AI chat usage.
Acceptance
By downloading or using SageGate, you agree to these Terms of Use. If you do not agree, do not use the app. The English text is authoritative; translations may follow.
About SageGate
SageGate is a native iOS application that provides a unified interface for interacting with multiple AI language model providers. The app facilitates direct connections between your device and third-party AI APIs using credentials you supply. Optional paid tiers add cloud document storage and retrieval, optional Cloud Inference adds server-side answer generation, and optional feedback and support tools let you contact us from inside the app. Those features are governed by the sections below and by our Privacy Policy, which forms part of these Terms.
Your Responsibilities
API Keys
You are solely responsible for obtaining, managing, and securing API keys for the providers you use. Usage costs incurred through your API keys are your responsibility. SageGate has no visibility into or liability for charges billed to you by third-party providers.
Acceptable Use
You agree not to use SageGate to generate content that is illegal, harmful, harassing, fraudulent, or in violation of any applicable law or the terms of service of any AI provider you connect to. Cloud features additionally run on AWS, and your use of them must comply with the AWS Acceptable Use Policy.
Account Security
You are responsible for maintaining the security of your device and the API keys stored within it. Enable biometric lock and device passcode to protect your keys.
Your AWS Account
If you use Self-Host or Private Cloud, you are responsible for your own AWS account, its costs, and the IAM role you grant; revoking that role disables the features that depend on it.
Third-Party AI Providers
SageGate is an interface layer. The AI responses you receive are generated by third-party providers, not by HT Holding Enterprise LLC. We make no representations regarding the accuracy, reliability, or appropriateness of any AI-generated content, and you should not rely on it without verification for legal, medical, financial, or other consequential decisions. Each provider's own terms of service govern your use of their models.
Subscriptions and Billing
Paid tiers are subscriptions purchased through Apple in-app purchase and governed by Apple's payment terms. Subscriptions renew automatically until cancelled in your Apple account settings; Apple handles all billing, and refunds follow Apple's refund process. Current pricing is shown in the app. We identify paid tenants solely through Apple's signed transaction — we receive no payment details and no identity information.
Cloud Document Storage
Self-Host (T2) sends your documents directly from your device to your own Amazon S3 bucket; our servers are never in the data path. Private Cloud (T3) processes documents through SageGate's pipeline and stores them in your own AWS account via the revocable IAM role you grant. Managed Cloud (T4) stores documents in SageGate's AWS infrastructure, isolated per tenant and encrypted at rest. You may permanently erase your cloud data at any time with "Erase Cloud Data" in the app; if a Managed Cloud subscription lapses, stored data is retained for 30 days and then permanently deleted.
Cloud Inference (Optional Feature)
Cloud Inference moves answer generation server-side. It is off by default, activates only after you accept an explicit acknowledgment, is badged in the interface while active, and can be turned off at any time — your direct-provider chat continues to work regardless.
- Private Cloud (T3) variant: our backend performs retrieval and calls Amazon Bedrock inside your own AWS account using the IAM role you granted. Model usage runs in your account and is billed by AWS to you; SageGate charges no per-use fee for this variant beyond your subscription.
- Managed Cloud (T4) variant: our backend performs retrieval and calls Amazon Bedrock in SageGate's own AWS account. T4 Cloud Inference chat is metered through Inference Credits (Section 8).
Chat content processed for Cloud Inference is processed transiently to produce the answer; we do not store prompts or completions server-side beyond that transient processing, and our operational logs contain request metadata only — never message text. Amazon Bedrock's own terms apply; AWS states in its published Bedrock commitments that customer content is not stored or logged by Bedrock and is not used to train AWS models.
Inference Credits
T4 Cloud Inference chat is paid for with Inference Credits: prepaid, consumable in-app purchases credited to your balance and debited per use at the per-model rates shown in the app before purchase. Credit packs and rates are as shown in the app. Credits are non-refundable except as required by law and through Apple's refund process, and a refund may reduce your balance, including below zero. Credits have no cash value and are not transferable. Unused credits persist for as long as your subscription data exists, and are forfeited when your cloud data is erased (including via "Erase Cloud Data") or purged after the 30-day post-lapse window in Section 6. When your balance is exhausted, Cloud Inference pauses until you top up — your direct-provider chat is unaffected. Plain-English gloss: credits are a prepaid meter for one feature; they live and die with your cloud data, and running out never breaks the rest of the app.
Fair Use and Feature Suspension
For the Managed Cloud Cloud-Inference variant — where processing occurs on our infrastructure — we may apply fair-use limits and enforce Acceptable Use Policy obligations at the application layer, including rate limits and, in cases of abuse, suspension of the Cloud Inference feature. Any such enforcement is scoped to the Cloud Inference feature only: it does not affect the base app, your direct-provider chat, or your stored documents.
Feedback and Support
SageGate may offer an optional feedback and support form for bug reports, feature requests, support requests, and similar messages. If you submit feedback or a support request, you authorize us to receive, route, read, respond to, store as reasonably needed, and use that submission to troubleshoot, support users, improve SageGate, and maintain the security and reliability of the feedback system.
Any contact information you provide through the feedback and support form is optional and is handled as described in our Privacy Policy. We may respond using the contact method you provide, but we do not guarantee that every message will receive an individual response.
Please do not include API keys, passwords, payment information, health information, government identification numbers, or other highly sensitive information in feedback or support messages. You are responsible for the content you submit.
If you send us ideas, suggestions, feature requests, or other feedback, you agree that HT Holding Enterprise LLC may use them without restriction or compensation to you. You keep ownership of your own message content; this section only gives us the practical permission needed to operate support and improve the app.
Agent Features
SageGate may offer agentic functionality that enables AI models to perform multi-step tasks, access local files, interact with memory systems, or connect to external services you configure. You acknowledge that:
- Agentic actions are taken at your direction and on your behalf
- You are responsible for reviewing and approving actions before or as they occur
- HT Holding Enterprise LLC is not liable for outcomes resulting from automated actions taken by AI agents operating within the app
- You should exercise appropriate caution when granting agent access to sensitive files, systems, or services
Your Content
You own the documents, profile content, memories, messages, and feedback content you use with or submit through SageGate. You grant us only the limited rights needed to operate the features you enable: storing and processing your documents for retrieval in your tier's storage location, transiently processing Cloud Inference requests to generate answers, and handling feedback or support submissions as described in Section 10. We claim no other rights in your content, and we do not use your content to train models.
No Warranty
SageGate is provided "as is" without warranty of any kind, express or implied. HT Holding Enterprise LLC does not warrant that the app will be error-free, uninterrupted, or compatible with all devices or provider APIs, nor that cloud features, Amazon Bedrock, email delivery, feedback handling, or any AI provider will be continuously available.
Limitation of Liability
To the maximum extent permitted by applicable law, HT Holding Enterprise LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of SageGate, including but not limited to API costs, data loss, missed support responses, email delivery failures, or reliance on AI-generated content. Our total liability for all claims arising out of these Terms or the app is limited to the amounts you paid us through Apple in the twelve months before the claim arose. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
Intellectual Property
SageGate, its design, code, and associated assets are the intellectual property of HT Holding Enterprise LLC. You may not copy, reverse engineer, or redistribute the app or its components without written permission.
Apple
These Terms are between you and HT Holding Enterprise LLC, not Apple. Apple has no obligation to furnish maintenance or support for SageGate and is not responsible for addressing claims relating to the app; Apple handles purchase and refund processing for all in-app transactions. Apple and its subsidiaries are third-party beneficiaries of these Terms with the right to enforce them as to your use of the app.
Changes to These Terms
We may update these Terms as the app evolves. Continued use after changes constitutes acceptance, and material changes to Cloud Inference will additionally be presented in-app before the feature continues. The current version is always available at https://www.sagegate.ai/terms-of-use/.
Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict of law principles.
